The Assignors are incorporated in the state of Delaware. The Assignees, Delaware limited liabilty companies, are special purpose entities established to (i) sell the assets of the Assignors and its affiliated companies, (ii) compile claims, and (iii) distribute proceeds to creditors according to the priority established. Please note that except for the relationship created by the Assignments, the Assignors and Assignees have no corporate affiliations to each other.
Status Update: HTBE (assignment for the benefit of creditors), LLC and H.com (assignment for the benefit of creditors), LLC (collectively, the “Assignees”), the Assignees of the EBTH assignment estates (the “Assignment Estates”), have diligently worked to administer the Assignment Estates and maximize recovery for the creditors of the Assignment Estates. This includes the implementation of a commercially reasonable sale process in which the Assignees successfully sold substantially all of the Assignment Estates’ assets. However, the sale price for the assets was significantly lower than the total amount of secured debt owed to the Assignment Estates’ secured lenders, and the costs in administering the Assignment Estates have further depleted the Assignment Estates’ financial resources. As a result, the Assignment Estates’ do not possess the wherewithal to satisfy the outstanding amounts owed to the Assignment Estates’ secured lenders and subsequently will not be able to make a distribution to unsecured creditors possessing allowed claims in the Assignment Estates.The case was closed on February 8, 2021 by order of the Honorable Kathaleen St. J. McCormick of the DE Court of Chancery Civil Action and the Assignees were discharged from any and all further obligations related to the Assignment Estates or the ABC Proceedings under this order.
