The Assignee, a Delaware limited liability company, is a special purpose entity established to (i) sell the assets of the Assignor, (ii) compile claims, and (iii) distribute proceeds to creditors according to the priority under applicable law. Please note that except for the relationship created by the Assignment, the Assignor and Assignee have no corporate affiliations to each other.
ACG (ABC), LLC Status Update:
PLEASE TAKE NOTICE that on August 16, 2023 (the “Effective Date”), Aceragen, Inc. (the “Assignor”), a Delaware corporation, made a General Assignment for the Benefit of Creditors (the “Assignment”) to ACG (ABC), LLC, a Delaware limited liability company, solely in its capacity as assignee for the benefit of creditors (the “Assignee”), pursuant to Delaware state law. Accordingly, please use this notice to discontinue any services provided to the Company effective August 16, 2023.
April 29, 2024 Status Update: The Assignee has been diligently working to administer the Assignment Estate and maximize the value of the assets for creditors via sales processes. Currently the Assignee is working toward the close of the Assignor’s primary asset.
Until such time as the asset’s sale is finalized, the Assignee is unable to file a motion to close this case with the DE Chancery Court. At this time, the Assignee is scheduled for a court hearing regarding this sale but we do not have a firm date in hand as to when these sale proceedings will be closed and a motion to close the assignment will happen. As such, we plan to send an additional update in the upcoming months.
